Merchant Agreement

1. Parties

This Merchant Agreement is entered into between GrandBridge Commerce Ltd., based in Freeport, Grand Bahama, The Bahamas, and the subscribing retail business, referred to as the Merchant.

2. Purpose

GrandBridge™ provides software that enables the Merchant to display products online and receive customer orders. GrandBridge™ acts solely as a technology provider. GrandBridge™ is not the seller of goods and does not take ownership of inventory.

3. Merchant Responsibilities

The Merchant agrees to:

• Provide accurate product descriptions, pricing, and availability
• Maintain up-to-date inventory information
• Fulfill customer orders in a timely manner
• Handle all refunds, exchanges, and customer disputes
• Comply with all applicable Bahamian laws and regulations
• Ensure proper tax handling and reporting

The Merchant is solely responsible for the goods and services offered through its store.

4. Fees and Payment

The Merchant agrees to pay the selected subscription fee or revenue share as agreed at onboarding. If revenue share applies, GrandBridge™will calculate fees based on completed online orders processed through the platform. Fees are billed monthly unless otherwise specified. Late payment may result in account suspension.

5. Data Ownership

Product data uploaded by the Merchant remains the property of the Merchant. Customer order data generated through the platform may be retained by GrandBridge™ for reporting, analytics, and system improvement. GrandBridge™ will not sell Merchant data to third parties.

6. Platform Availability

GrandBridge™ will make reasonable efforts to maintain platform availability. However, temporary interruptions may occur due to maintenance or technical issues. GrandBridge™ does not guarantee uninterrupted service.

7. Limitation of Liability

GrandBridge™ shall not be liable for:

• Lost sales due to inventory errors
• Incorrect pricing uploaded by the Merchant
• Failure to fulfill customer orders
• Indirect or consequential damages

Total liability shall not exceed fees paid by the Merchant in the previous three months.

8. Term and Termination

This Agreement continues on a month-to-month basis unless otherwise agreed. Either party may terminate with written notice in accordance with the Merchant's selected plan. GrandBridge™ may suspend or terminate service for non-payment or policy violations.

9. Governing Law

This Agreement is governed by the laws of The Commonwealth of The Bahamas.
